Merchant terms of service
These terms govern your use of PAID as a merchant (seller). By creating an account, accepting payments through PAID, or using our APIs, you agree to this agreement and our privacy policy. Buyers who pay through PAID-hosted checkout are subject to separate payment-authorization flows on the checkout surface.
Version: 2026-07-09 · Effective: 2026-07-09
1. Who we are
"PAID" (also "PAI'D Payments Intelligence") is operated by the entity behind the AXIS payment platform. We provide payment acceptance, settlement orchestration, compliance tooling, and related merchant services. We are a payment processor and technology platform — not a bank, lender, or custodian of your funds or your customers' funds. PAID does not hold money-transmission or banking licenses; regulated payment and identity-verification activities are performed by licensed sub-processors listed at /sub-processors.
2. Services
Subject to these terms and applicable law, PAID provides:
- Hosted checkout and API-based card payment acceptance through Stripe, charged on your own connected Stripe account. Card payments are the only payment method PAID offers today.
- Merchant onboarding, KYB verification, and compliance screening.
- Payouts to your linked bank account, made by Stripe from your own Stripe account; PAID does not hold or pay out funds.
- Dashboard, reporting, webhooks, and developer tools.
Available rails, currencies, and features depend on your jurisdiction, risk profile, and connected providers. PAID may enable or restrict rails without prior notice when required by law, partner policy, or risk assessment.
3. Your account
- You must provide accurate business information and keep it current.
- You are responsible for all activity under your account, including API keys and team members you authorize.
- You must enable and maintain two-factor authentication as required by PAID.
- You must complete KYB — business profile, beneficial-owner disclosure, Stripe Connect identity verification, and sanctions screening — before live payment processing is enabled. High-risk accounts may require operator-directed enhanced due diligence.
- Where onboarding asks for one, you must link a verified payout bank account (via Plaid).
4. Fees
Fees are disclosed in your dashboard, pricing page, or separate fee schedule. Unless otherwise agreed in writing, processing fees are netted from settlement amounts by the licensed settlement providers before funds reach your configured destination. You authorize PAID to instruct, and its licensed settlement partners to apply, the netting of fees, chargebacks, refunds, reserves, and adjustments against amounts owed to you.
5. Prohibited uses
You may not use PAID for:
- Illegal goods or services, sanctions evasion, or transactions with prohibited persons or jurisdictions.
- Money laundering, terrorist financing, fraud, or deliberate transaction structuring.
- Activities that violate card-network, ACH, or partner rules (including excessive chargebacks or misrepresented MCC).
- Storing cardholder data outside approved tokenization flows (e.g. Stripe Elements).
- Circumventing PAID security, rate limits, or compliance controls.
PAID may suspend or terminate accounts that violate this section or trigger enhanced due diligence under our AML program.
6. Chargebacks, disputes, and reserves
You are liable for chargebacks, ACH returns, and disputes on transactions you accept. PAID may pass through dispute costs, hold reserves, or delay settlement when risk indicators warrant. You will cooperate with evidence requests within the deadlines imposed by networks and applicable law.
7. Data and privacy
Our collection and use of personal data is described in the privacy policy. You act as an independent controller for buyer data you collect outside PAID-hosted fields; you must have a lawful basis and provide appropriate notices to your customers.
PAID uses sub-processors (Fly.io, Cloudflare, Stripe, Plaid, and others) to deliver the service. We will provide at least 30 days' notice before adding a new sub-processor that processes your merchant data, except where urgency is required for security or legal compliance.
8. API and acceptable use
- API keys are secrets — do not embed them in client-side code or public repositories.
- Respect rate limits and idempotency requirements documented in our API reference.
- Do not probe, scan, or attempt unauthorized access to PAID systems.
- Report security issues to security@trustfabric.ai.
9. Warranties and disclaimers
PAID provides the service on an "as is" and "as available" basis to the maximum extent permitted by law. We do not warrant uninterrupted or error-free operation. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, PAID's aggregate liability arising from these terms or the service is limited to the fees you paid to PAID in the twelve (12) months preceding the claim. PAID is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data.
11. Indemnity
You will indemnify and hold PAID harmless from claims, fines, and costs arising from your breach of these terms, your products or services, your misuse of the platform, or your violation of applicable law — except to the extent caused by PAID's gross negligence or willful misconduct.
12. Term and termination
Either party may terminate for convenience with thirty (30) days' written notice. PAID may suspend or terminate immediately for risk, legal, or security reasons. Upon termination, you remain liable for outstanding chargebacks, fees, and regulatory retention obligations. Financial records are retained per our privacy policy and internal data-governance audit.
13. Changes
We may update these terms by publishing a new version at /terms and recording the version in our terms API (GET /v1/tos/current).
Material changes will be communicated by email or in-dashboard notice. Continued
use after the effective date constitutes acceptance of the updated version unless
we require explicit re-acceptance.
14. Governing law
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where mandatory consumer or data-protection laws in your jurisdiction provide otherwise.
